Creditor Onboarding Terms & Conditions
These Terms & Conditions ("Terms") govern the collection, use, and disclosure of information during the creditor onboarding process for the Brumby Pay platform, in accordance with KYC obligations required by our payment provider, Monoova.
By completing the creditor registration process, you confirm that you have read, understood, and agreed to these Terms.
Purpose of Information Collection:
Brumby Finance Pty Ltd (“Brumby Pay”, "Brumby", “we”, or “us”) collects the information requested in the sign-up process solely to:
Meet the Know Your Customer (KYC) obligations of our payment provider, Monoova;
Comply with Australian regulatory standards including AUSTRAC guidelines;
Facilitate your access to Brumby Pay’s invoice payment and reward platform.
Information We Collect:
You will be asked to provide:
Business Information
Legal Entity Name
ABN / ACN
Business Address
Business Structure (e.g. Pty Ltd, Sole Trader)
Individual Representative Information:
Full Name
Date of Birth
Residential Address
Role / Title
Driver Licence or Passport Number + Issuing Authority (e.g. VIC Roads, Australian Passport Office)
Beneficial Ownership Information:
Where required by law, we may also collect information about beneficial owners of your business (e.g. any individual holding 25% or more ownership), including their full name, date of birth, residential address, and ownership percentage.
Bank Account Information:
Account Name (as it appears on your bank account)
BSB and Account Number
Note: While Brumby Pay may request ID details for verification, image uploads are not required unless triggered by our payment provider’s verification system.
Declarations and Consent:
By submitting the registration form, you:
Certify that all information provided is accurate and complete to the best of your knowledge.
Authorise Brumby to securely share the submitted information with Monoova for onboarding and KYC purposes only.
Consent to the use and secure storage of your personal and business information in accordance with our [Privacy Policy].
Agree that your digital acceptance of these Terms constitutes a legally binding electronic signature under the Electronic Transactions Act 1999 (Cth), and may be relied upon for compliance and verification purposes.
Use and Disclosure of Information:
Brumby will:
Use the information only for the purposes stated above;
Disclose the information only to Monoova and its verification providers as required;
Not sell, rent, or disclose your information to any third party unrelated to the onboarding or compliance process.
You acknowledge that Monoova's Privacy Policy may also apply to the handling of your data and is available at https://www.monoova.com/privacy-policy.
Legal Compliance:
Brumby Pay complies with:
The Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs);
AUSTRAC's minimum KYC requirements as applicable to Monoova as a reporting entity;
All relevant obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (as applicable to our payment provider).
Brumby Pay itself is not a reporting entity under AUSTRAC and does not offer designated services under the AML/CTF Act.

Security and Storage:
We take security seriously. All personal and business data is:
Collected through secure, encrypted forms;
Stored in accordance with APP 11 (secure storage and access);
Accessed only by authorised personnel;
Shared with Monoova via encrypted, traceable methods.
Accuracy and Updates:
You agree to promptly notify Brumby Pay of any changes to your business or representative information. Brumby Pay is not responsible for verification delays caused by incorrect or outdated information.
Possible Uploads:
In some cases, Monoova may require additional documentation, such as a driver licence image. Brumby Pay will notify you securely if further verification is required.
No image uploads are required at the initial stage unless triggered by Monoova.
Platform Fee Schedule & Tiered Commission Rates:
Brumby Pay only charges a fee after your invoice is successfully paid. Our commission is calculated as a percentage of the total invoice value (ex GST), and it’s the only fee we charge.
Rates for Registered Account Holders - rewards cost inclusive:
Brumby Pay does not charge an establishment fee or ongoing monthly fees.
Merchant fees, charges, and applicable surcharges are determined on a case-by-case basis and communicated to each business in a separate written agreement or pricing schedule. Brumby Pay reserves the right to review, vary, or update fees from time to time in accordance with the terms of the applicable merchant agreement. Unless otherwise stated in writing, all fees are quoted exclusive of GST. Merchants will be notified in advance of any changes to their agreed rates, in line with fair trading and consumer law requirements.
Brumby Pay aims to provide simple, transparent pricing that reflects your transaction volume, payment mix, and reward participation. To obtain your specific rate or pricing schedule, please contact our team before activation.
Card Payment Fees:
If a payer elects to pay using a debit or credit card, applicable card processing fees are incurred in addition to Brumby Pay’s platform commission.
Creditor Election

It is the creditor’s responsibility to specify in their invoice terms whether such card processing fees are passed on to the payer or absorbed by the creditor.

Where the creditor’s invoice terms do not specify, any card processing fees will be deducted from the creditor’s settlement in addition to Brumby Pay’s platform commission.
Brumby Pay is not responsible for the allocation or absorption of card processing fees between payers and creditors. These fees are a direct pass-through from our payment provider (Monoova).

GST on Brumby Pay Fees:
Brumby Pay’s platform commission is calculated on the invoice value excluding GST. This means we never charge a fee on the GST amount you're collecting on behalf of the ATO. However, as a GST-registered business, Brumby Pay is required to add 10% GST to our commission fee. This GST component is clearly itemised on your Brumby Pay tax invoice and may be claimable as an input tax credit if you are also GST-registered.
BPAY Availability:
BPAY is not a default payment option on the Brumby Pay platform. Access to BPAY will only be made available to enterprise creditors who maintain an agreed invoice volume per month. Where BPAY is activated, a one-off setup fee will be charged to the creditor. Standard BPAY transaction fees also apply and will be passed through at cost.
Account Fees:
Each creditor will be provisioned with one (1) live settlement account at no additional cost. Additional settlement accounts, where requested by the creditor, may be provisioned at Brumby Pay’s discretion and will attract a setup fee of $50 per account (ex GST). These fees are charged in addition to Brumby Pay’s standard commission and are non-refundable.
Dispute Resolution / Investigated Transactions:
Where a transaction dispute arises and the cause is not attributable to Brumby Pay or its payment provider, Monoova, an investigation fee of $15 (ex GST) per disputed transaction may be deducted from the creditor’s settlement funds. This fee reflects the cost of third-party investigation services and will only be applied where responsibility for the dispute rests with the creditor or payer. Investigation fees are applied on a pass-through basis from our payment provider.
Chargebacks:
Where a payer disputes a transaction and a chargeback is initiated, a chargeback fee of $25 (ex GST) will be deducted from the creditor’s settlement funds in addition to any reversal of the original transaction amount.
Pass-Through Liabilities (Scheme Fines, Penalties):
Where penalties, fines, or scheme costs are imposed on Brumby Pay or its payment provider as a result of a creditor’s actions, omissions, or non-compliance with applicable laws or scheme rules, Brumby Pay reserves the right to recover such costs directly from the creditor. Creditors indemnify Brumby Pay against any such liabilities to the extent they arise from the creditor’s conduct.
Termination:
Brumby Pay reserves the right to suspend or terminate a creditor’s access to the platform where:
(a) our payment provider (Monoova) terminates or suspends services under its own terms;
(b) required by law, regulator, or card/network scheme; or
(c) the creditor materially breaches these Terms.
In such cases, Brumby Pay will provide creditors with as much notice as reasonably practicable. Brumby Pay will not be liable to the creditor for any loss arising from such suspension or termination.
Audit Rights:
To the extent required by our payment provider or applicable laws, Brumby Pay may request information, records, or cooperation from creditors to demonstrate compliance. Creditors agree to provide such information promptly upon request. Any audits initiated by Brumby Pay or its payment provider will be conducted during business hours and on reasonable notice. Costs of any audit will be borne by the requesting party unless a material breach is found.
Payments Received Outside Original Invoice or Bill terms of trade:
Brumby Pay operates a milestone-based reward system that recognises timely, voluntary payments. If an invoice is paid outside of an active milestone trigger (e.g. paid late), no reward will be issued to the payer.
This does not affect the creditor’s payment. Brumby Pay will still process the transaction and remit funds to the creditor in line with our standard payout schedule, less the agreed platform commission.
There is no compensation, adjustment, or refund of commission in cases where a reward is not issued due to payer timing. Rewards are system-triggered and apply only to eligible milestone events.
