These Terms and Conditions (“Terms”) govern participation in the Brumby Pay Rewards Program, operated by Brumby Finance Pty Ltd (“Brumby”, "Brumby Pay", “we”, “us”, or “our”). By accepting these Terms (e.g. by checking a box or continuing to use the platform), you (“you”, “the user”, or “payer”) agree to be bound by them.
 

Participation is entirely voluntary and subject to these Terms and applicable Australian law.
 

Overview of the Brumby Pay Rewards Program:

The Brumby Pay Rewards Program is operated by Brumby Finance Pty Ltd and governed exclusively by these Terms. Participation in the program does not alter your obligation to pay invoices or other amounts owing, and does not create any contractual right or expectation to receive a reward.

The Brumby Pay Rewards Program operates as a fixed, deterministic system.

Rewards may be triggered when predefined milestone thresholds are reached, including:
 

• Platform-wide milestones, based on the total number of eligible payments completed across all users; and/or

• Individual milestones, based on the number of eligible payments completed by a single customer.
   

Eligible payments may include invoiced or billed payments (whether processed through the Brumby Pay platform or paid using a payment card linked to the Brumby Pay app), as well as in-person (point of sale) and eCommerce payments tracked via payment cards linked to the Brumby Pay app.
 

All rewards are funded and issued solely by Brumby, not by creditors, merchants, or customers.
There is no element of chance, no point accumulation, and no stored value associated with the program.
 

Eligibility & Participation:

To participate in Brumby Pay milestone acknowledgements:
 

• You must complete an eligible payment, paid in full and on time, that is recorded by Brumby Pay for milestone assessment.

• Eligible payments include:

  • Invoiced or billed payments, whether processed through the Brumby Pay platform or paid using a payment card linked to the Brumby Pay app; and

  • In-person (point of sale) and eCommerce payments tracked via payment cards linked to the Brumby Pay app.

• The payment must be successfully completed, settled, and recorded by Brumby Pay’s systems.

• You must provide a valid email address or other contact details to enable notification if a reward is issued.

• You must not be associated with any sector, merchant type, transaction type, or activity listed in Brumby Pay’s Restricted Sector Register.
   

Participation in milestone acknowledgements is voluntary and subject to ongoing eligibility.

How Rewards Work:

A reward may be issued when either:
 

• An individual customer milestone is reached (for example, a customer’s 5th, 10th, or Nth completed payment); and/or

• A platform-wide milestone is reached (for example, the 10th, 30th, or 1,000th completed payment across all Brumby Pay users).
   

If your completed payment is the one that satisfies the relevant milestone condition, the system may issue a reward in connection with that payment.

Brumby Pay does not determine rewards based on payment value, speed of payment, transaction frequency beyond the predefined milestone count, or personal user characteristics.

Reward amounts, formats, availability, and milestone thresholds may vary from time to time in accordance with Brumby Pay’s published milestone policy. All rewards are:
 

• Post-payment only

• System-triggered

• Publicly defined within fixed milestone logic
   

There is no draw, no competition, no entry mechanism, and no registration requirement.

Rewards are not prizes, not incentives, and not earned outcomes. They are post-payment acknowledgements generated automatically when predefined individual or platform-wide milestones are met.
 

Key Legal Clarifications:
 

No Inducement: Rewards are issued after payment. Brumby does not offer or promote payment incentives. Paying an invoice is your legal obligation under your contract with the creditor. The reward does not alter, replace, or incentivise that obligation.

No Discretion: Rewards are not granted subjectively. They are automatically issued by system logic based on invoice sequence and milestone.
 

No Financial Product: Brumby Pay does not offer a financial product or facility. Rewards are not redeemable for cash, do not accumulate value, and are not transferrable. The platform does not store value, issue credits, or provide access to any financial entitlement.
 

Restricted Sectors:

Brumby Pay maintains a live Restricted Sector Register. Transactions from these sectors are excluded from eligibility to preserve legal and reputational integrity.
 

Examples may include, but are not limited to:
 

• Gambling or wagering

• Adult services or adult content

• Payday lending or fringe finance

• Tobacco, weapons, or unlicensed pharmaceuticals

• Certain education or healthcare uses
   

Brumby Pay may update the restricted list at any time without notice. Any payment linked to a restricted sector will not qualify for reward eligibility.

 

Taxation and Disclosure:

Brumby Pay funds and issues all rewards.
Rewards may have tax implications depending on your structure and use.
Brumby Pay does not provide financial or tax advice. Please consult your accountant regarding any potential income reporting or fringe benefit liabilities.

 

You are solely responsible for reporting and managing any tax liabilities arising from participation in the Brumby Pay Rewards Program, including income or fringe benefit implications.
 

Abuse & Fraud Prevention:

Brumby Pay strictly prohibits any attempt to manipulate milestone reward outcomes or interfere with platform fairness.

This includes, but is not limited to, conduct that distorts invoice volume, user identity, or payment legitimacy.
 

Brumby Pay uses internal fraud detection, audit trails, and invoice verification systems.
Any suspicious activity may result in:
 

• Immediate disqualification from the rewards program

• Withholding or cancellation of rewards

• Account suspension or termination

• Escalation to regulators or law enforcement where appropriate
   

All milestone fulfilments are subject to audit. Brumby Pay reserves the right to revoke any reward found to have been obtained through improper means. Brumby Pay's determination regarding fraud, manipulation, or ineligibility is final and binding. We reserve the right to suspend accounts, reverse rewards, or refer matters to relevant authorities where required.

Opt-Out:

Participation is optional.
If you do not wish to be considered for milestone rewards:
 

You may opt out via a settings toggle in your Brumby Pay account
Or email us at support@brumbypay.com.au
Opting out of rewards will not affect your ability to use Brumby Pay for invoice payments.
 

No Guarantee or Entitlement:

You are not entitled to a reward unless your invoice is the exact one that reaches a system-wide milestone.
Rewards are not promised, advertised, or earned; they are automated acknowledgements triggered by system thresholds.
There is no appeal process or manual override for missed milestones or disqualified payments.

Brumby Pay retains full discretion over the timing, format, and delivery method of reward fulfilment, including in cases of system error or payment dispute.

 

Changes to Program:

Brumby Pay reserves the right to modify, suspend, or terminate the Rewards Program at its sole discretion, including in response to regulatory change, platform updates, or operational needs. Any such changes will be communicated via our website.
 

Governing Law:

These Terms are governed by the laws of Victoria, Australia. Any dispute arising in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.
 

Acceptance:

By accessing or using the Brumby Pay platform, including by accepting these Terms during sign-up, you:
 

• Acknowledge that all rewards are issued solely by Brumby Pay and not by any third party or creditor;

• Understand that rewards are strictly discretionary, issued only after payment, and do not constitute inducement, obligation, or entitlement;

• Agree to comply with these Terms, all applicable laws, and any additional policies or conditions published by Brumby Pay.
